TERMS AND CONDITIONS OF SALE AND SERVICE

1. Applicability of Terms The client explicitly waives its own standard terms and conditions, including any that may be subsequently issued. Any derogation from these terms and conditions of sale and service shall only be valid if expressly agreed upon in advance and in writing by Bluefin Infotech.

2. Payment Terms Invoices issued by Bluefin Infotech are payable within twenty-one (21) working days from the invoice date, unless a different payment timeframe is explicitly stated on the invoice or the corresponding order.

3. Late Payment and Suspension of Services In the event of non-payment by the stipulated due date, Bluefin Infotech reserves the right to levy a fixed interest payment equivalent to ten percent (10%) of the outstanding sum. Furthermore, Bluefin Infotech is authorized to suspend the provision of any services without prior warning or notice in the event of late payment.

4. Debt Recovery Should any payment remain outstanding for more than sixty (60) days beyond its due date, Bluefin Infotech reserves the right to engage the services of a professional debt recovery agency. All associated legal and recovery expenses incurred shall be borne solely by the client.

5. Withholding Tax Clients acknowledge that certain countries may apply withholding tax on invoice amounts in accordance with their national legislation. Any such withholding tax shall be paid by the client directly to the relevant tax authorities. Bluefin Infotech shall under no circumstances be liable for any costs or obligations related to the client's local tax legislation. The full amount of the invoice, exclusive of any such legislative costs, shall therefore remain due and payable to Bluefin Infotech.

6. Service Obligations Bluefin Infotech undertakes to exercise its best efforts to deliver high-performing services in a timely manner, in accordance with agreed-upon timeframes. However, it is expressly understood that none of Bluefin Infotech's obligations shall be construed as an obligation to achieve a specific result. Bluefin Infotech cannot, under any circumstances, be required by the client to participate as a third party in any claim for damages filed against the client by an end consumer.

7. Claims and Notifications For any claim to be admissible, Bluefin Infotech must be formally notified via a letter sent by recorded delivery to its registered office within eight (8) days following the delivery of goods or the provision of services.

8. Governing Law and Jurisdiction All contractual relations between Bluefin Infotech and the client shall be governed exclusively by the laws of India.
